Techrunic International is committed to working with suppliers and partners who share our values of ethical conduct, quality excellence, environmental stewardship, and social responsibility. This code of conduct establishes expectations for all our suppliers and business partners.

1. Purpose and scope
This Supplier Code of Conduct (the "Code") sets forth the ethical, environmental, and operational standards that Techrunic International ("Techrunic") expects all suppliers, vendors, manufacturers, distributors, contractors, and other business partners to adhere to when working with us or on our behalf.
Suppliers are expected to communicate these standards to their own subcontractors and lower-tier suppliers in their supply chain, ensuring consistent compliance throughout our sourcing network.
2. Business ethics and integrity
Suppliers must:
- Conduct business with honesty, fairness, and transparency in all dealings with Techrunic and the public.
- Maintain accurate records and provide truthful information regarding product specifications, certifications, safety data, and pricing.
- Comply with all applicable anti-corruption, anti-bribery, and anti-money laundering laws, including the Foreign Corrupt Practices Act (FCPA) and UK Bribery Act.
- Refuse all forms of corruption, fraud, kickbacks, or unlawful inducements in business transactions.
- Protect Techrunic's intellectual property, trade secrets, and confidential business information with appropriate safeguards.
- Avoid conflicts of interest and disclose potential conflicts to Techrunic immediately.
3. Compliance with laws and regulations
Suppliers must:
- Comply with all applicable local, national, and international laws, regulations, and industry standards in their jurisdiction and operations.
- Adhere to export control regulations, including restrictions on products destined for sanctioned countries or entities.
- Maintain all required licenses, certifications, and permits for their business operations.
- Report any regulatory violations or legal investigations to Techrunic promptly.
- Support Techrunic's compliance efforts through audits, inspections, and documentation reviews.
4. Quality and product safety
Suppliers must:
- Provide products and services that meet or exceed agreed specifications, industry standards, and applicable safety regulations.
- Implement quality management systems (such as ISO 9001) to ensure consistent product and service quality.
- Establish procedures for timely identification, reporting, and resolution of product defects, safety hazards, or performance issues.
- Comply with all product safety regulations, including RoHS, WEEE, and other environmental material restrictions.
- Maintain traceability of components and materials used in products supplied to Techrunic.
- Provide accurate technical documentation, safety data sheets, and installation guidance for all products.
5. Labor practices and human rights
Suppliers must:
- Respect internationally recognized human rights and ensure no forced labor, bonded labor, or human trafficking in operations or supply chains.
- Prohibit child labor and comply with minimum age requirements under applicable law and International Labour Organization (ILO) conventions.
- Provide safe and healthy working conditions, including proper ventilation, sanitation, emergency preparedness, and access to potable water.
- Respect employees' rights to freedom of association and collective bargaining as permitted by local law.
- Pay wages that meet or exceed legal minimum wage requirements and are delivered on a timely, regular basis.
- Maintain reasonable working hours in compliance with applicable labor laws and industry standards.
- Provide a workplace free from harassment, discrimination, violence, and disciplinary practices that are abusive or inhumane.
6. Environmental responsibility
Suppliers must:
- Comply with all applicable environmental laws, regulations, and permits related to air and water quality, waste management, and pollution prevention.
- Minimize environmental impacts, including greenhouse gas emissions, water consumption, and hazardous waste generation in their operations.
- Implement practices to reduce, reuse, and recycle materials, and use environmentally responsible packaging where feasible.
- Properly manage and dispose of hazardous materials in accordance with environmental regulations and industry best practices.
- Monitor and report environmental incidents, spills, or violations to relevant authorities and to Techrunic.
- Work toward continuous environmental improvement and support Techrunic's sustainability goals.
7. Data protection and cybersecurity
Suppliers must:
- Protect personal information and data provided by Techrunic or collected in the course of business with appropriate technical and organizational safeguards.
- Comply with applicable data protection regulations, including GDPR, CCPA, and other regional privacy laws.
- Implement cybersecurity measures to protect systems, networks, and information from unauthorized access, disclosure, or alteration.
- Report data breaches, security incidents, or unauthorized access to Techrunic immediately upon discovery.
- Maintain appropriate insurance coverage for data protection and cybersecurity liabilities.
- Restrict access to Techrunic's confidential information to authorized personnel only.
8. Health, safety, and security
Suppliers must:
- Maintain a safe work environment in compliance with occupational health and safety regulations, including OSHA standards.
- Implement hazard identification, risk assessment, and control measures to prevent workplace injuries and illnesses.
- Provide appropriate personal protective equipment, training, and emergency procedures to employees.
- Report workplace accidents, injuries, and near-miss incidents to relevant authorities and to Techrunic as required.
- Maintain facilities with appropriate security measures to prevent theft, loss, or unauthorized access.
9. Supply chain transparency
Suppliers must:
- Provide accurate information about their supply chain, including key subcontractors, manufacturers, and material sources.
- Cooperate with Techrunic's supply chain audits, assessments, and due diligence activities.
- Identify and report potential risks in their supply chain, including conflict minerals, labor abuses, or environmental violations.
- Commit to responsible sourcing of materials and components, including compliance with conflict minerals regulations.
- Maintain documentation and traceability records to support transparency and compliance verification.
10. Conflict minerals and responsible sourcing
Suppliers must:
- Comply with conflict minerals regulations, including the Dodd-Frank Act and equivalent regulations in other jurisdictions.
- Exercise due diligence to identify minerals sourced from conflict-affected and high-risk areas and ensure they are conflict-free.
- Provide documentation and certifications regarding the origin and sourcing of minerals used in products supplied to Techrunic.
- Support efforts to enable traceability and responsible sourcing throughout the supply chain.
11. Monitoring and compliance verification
Techrunic reserves the right to audit, inspect, or conduct assessments of supplier facilities, records, and practices to verify compliance with this Code. Suppliers must cooperate fully with these verification activities and provide access to relevant documentation, personnel, and facilities. Techrunic may engage qualified third-party assessors to conduct these reviews.
12. Remediation and corrective action
If Techrunic identifies non-compliance with this Code, the supplier is expected to develop and implement a corrective action plan within an agreed timeline. Techrunic will work collaboratively with suppliers to address issues, but persistent or serious violations may result in suspension or termination of the business relationship.
13. Whistleblower protection
Suppliers and their employees are encouraged to report actual or suspected violations of this Code, applicable laws, or ethical standards. Reports can be made through Techrunic's designated reporting channels. Techrunic prohibits retaliation against individuals who report violations in good faith and will maintain confidentiality as appropriate.
14. Communication and training
Suppliers must communicate this Code of Conduct to their employees, contractors, and lower-tier suppliers. Training and awareness programs should be implemented to ensure understanding and compliance with the standards outlined herein. Techrunic may provide additional guidance or training as needed.
15. Continuous improvement
Techrunic believes in working collaboratively with suppliers to drive continuous improvement in ethical practices, environmental stewardship, and operational excellence. Suppliers are encouraged to propose and implement innovations that enhance compliance, reduce environmental impact, and improve safety and quality.
16. Policy updates and amendments
Techrunic may update this Code of Conduct to reflect changes in regulations, industry standards, or business practices. Material updates will be communicated to affected suppliers with reasonable advance notice. Continued engagement with Techrunic following notification of updates constitutes acceptance of the revised Code.
